Acceptance of these terms
These Terms of Use ("Terms") are an agreement between you and Autimo Systems Inc. ("Autimo," "we," "us," or "our"). They govern your access to and use of autimo.com and any Autimo customer deal room, including proposals, documents, and electronic-signing workflows.
By using the website or a deal room, you agree to these Terms. If you use them for an organization, you confirm that you have authority to bind that organization. If you do not agree, do not use the website or deal room.
Services and signed agreements
Autimo provides cloud, software, technology, security, and advisory services. The scope, deliverables, fees, service levels, and other commercial terms for an engagement are defined in the applicable proposal, statement of work, master services agreement, order form, or other signed agreement.
If these Terms conflict with a signed agreement between you and Autimo, the signed agreement controls for that engagement.
Deal-room access and electronic signatures
Deal rooms are intended only for invited participants. Keep secure links, one-time codes, and other access credentials confidential. Do not forward them or allow another person to use your identity.
Review every document before signing. An electronic signature or acceptance may create a binding agreement. If you are not authorized to sign for the named customer, do not sign and contact your Autimo representative.
We may suspend or revoke access when needed to protect a participant, customer, document, or system, or when a proposal expires, is declined, is cancelled, or is replaced.
Your responsibilities
You agree to provide accurate information, use the website and deal room only for lawful purposes, protect your access credentials, and comply with applicable laws and signed agreements. You must not:
- attempt to access another customer's information or any system without authorization;
- interfere with, probe, damage, or circumvent security controls;
- upload, transmit, or submit unlawful, harmful, deceptive, or infringing material; or
- copy, scrape, automate access to, or reuse the website or deal room except as permitted by us in writing.
Intellectual property and customer materials
The website, deal-room software, designs, text, graphics, logos, and other Autimo content are owned by Autimo or its licensors and are protected by applicable intellectual-property laws. These Terms do not transfer ownership to you.
You retain ownership of materials you provide. You grant Autimo a limited right to use, process, store, and transmit those materials as needed to respond to you, prepare or administer an engagement, operate the deal room, and deliver contracted services.
Third-party services
The website and deal room may rely on third-party hosting, communications, analytics, document, and electronic-signature services. Those providers may apply their own terms and privacy notices. Autimo is not responsible for a third party's independent services, acts, or omissions.

Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND DEAL ROOM ARE PROVIDED "AS IS" AND "AS AVAILABLE." AUTIMO DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, AND ACCURACY.
Specific warranties or service commitments in a signed agreement apply only to the services covered by that agreement.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTIMO AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO THE WEBSITE OR DEAL ROOM.
Unless a signed agreement states otherwise, Autimo's total liability arising from or related to the website or deal room will not exceed the greater of the amount you paid Autimo for the affected service during the twelve months before the claim or one hundred Canadian dollars ($100 CAD).
Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.
Indemnification
You agree to indemnify and hold harmless Autimo and its directors, officers, employees, contractors, and affiliates from claims, losses, damages, liabilities, and reasonable costs arising from your unlawful use of the website or deal room, your breach of these Terms, or your infringement of another person's rights.
Termination
You may stop using the website at any time. Autimo may restrict or terminate access when you breach these Terms, when required by law or security needs, or when the applicable relationship or deal-room purpose ends. Terms that by their nature should survive termination will continue to apply.
Governing law
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Any dispute relating to these Terms must be brought in the courts located in Vancouver, British Columbia, and you consent to their jurisdiction.
Changes to these terms
We may update these Terms when our website, deal-room operation, services, or legal obligations change. The date above identifies the current version. Your continued use after an update means you accept the revised Terms.
